Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the website, content, and services provided by Michigan Inventors Coalition: Pharma Insights (the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our policies referenced herein. If you do not agree, do not use the Service.

Payments and Subscriptions

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT LIABILITY CANNOT BE DISCLAIMED, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification
You agree to defend, indemnify, and hold harmless us and our owners, officers, directors, employees, contractors, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Service or Content, your User Content, your violation of these Terms, or your violation of any rights of another.
Governing Law; Dispute Resolution
These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Michigan, without regard to its conflict of law principles.
Binding Arbitration and Class Action Waiver: Except for claims that may be brought in small claims court and for requests for injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by a reputable arbitration provider under its applicable rules. The arbitration shall take place in Michigan or by video/teleconference, in English. You and we waive the right to a trial by jury and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice of your opt-out to [email protected] with subject line “Arbitration Opt-Out” and your full name and address.
If the arbitration agreement is found unenforceable as to a particular claim or remedy, then that claim or remedy shall proceed in the state or federal courts located in Michigan, and you consent to personal jurisdiction and venue in those courts.
Severability; Waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign, transfer, or delegate these Terms or our rights and obligations without restriction.
Entire Agreement
These Terms, together with any policies or guidelines referenced herein, constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous agreements, understandings, or communications.
Effective Date; Changes to These Terms
These Terms are effective as of the date posted or as otherwise indicated. We may update these Terms from time to time. We will use reasonable efforts to notify you of material changes, and your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
